#E60PQ-120001/031/PQ issued to Nightingale Corp Government Buyers
1. This is to summarize the details of the above noted Supply Arrangement.
2. As of April 1st 2018, items offered on this Supply Arrangement are the Bless, Frio, CXO, Ergo Learn, IC2, OXO and Cricket chair by specific model numbers as noted below.
3. There is a special Nightingale Net Price for this SA and will be referred to as Ceiling Price.
4. The standard fabrics for all products is our Mystic or Foundation. There are numerous colors to choose from for each line with the standard color being C1 or F58 Black. These fabrics have 100% recycled content as mandated by PWGSC. For color selection, please refer to the Nightingale web site at www.nightingalechairs.com .
5. The federal government uses a specific Purchase Order form to place orders under the Supply Arrangement. The Purchase Order is made out to Nightingale Corp., in care of the Nightingale Authorized Dealer listed on the SA, and must show the chair model number, fabric color selected, net price, freight charge and the installation charge as a separate line items.
6. IU’s (Identified Users) will procure based upon 3 Tiers. An IU is any Federal Government agency OR Crown Corporation.
For Tier 1, the TAV (Total Aggregate Value is between $2,001 and $24,999.99 and requires the IU to only get one quote or bid. The TAV is estimated using the Ceiling Price as noted below X the quantity of units and adding a percentage of 4% for freight and 7% for installation to get a TAV. The percentage is used by the IU for estimating only unless a freight and installation amount is quoted by the Authorized Nightingale Dealer or Nightingale.
For Tier 2, the TAV is between $25,000 and $400,000 and the IU is encouraged to send a bid request to at least 2 conforming suppliers. The TAV is estimated using the Ceiling Price as noted below X the quantity of units and adding a percentage of 4% for freight and 7% for installation to get a TAV. The percentage is used by the IU for estimating only unless a freight and installation amount is quoted by the Authorized Nightingale Dealer or Nightingale.
For Tier 3, the TAV is over $400,000. The IU will publish a request for bid on GETS regarding Notices of Planned Procurements and submit a bid accordingly.
7. Freight delivery charges are based on being prepaid and charge and are to be listed as a separate line item on the purchase order.
8. Installation charges are to be quoted on an order by order basis and listed as a separate line item on the purchase order.
9. Nightingale will produce, ship and invoice for the goods, freight and installation charges, carry the receivable, collect payment.
10. Delivery is stated as three (3) weeks after receipt of order, and installation will be carried out during normal working hours, e.g. 9:00 A.M. to 5:00 P.M., Monday through Friday.
